1. Definitions

• "Provider Account" refers to a verified account granting access to pricing, ordering, and lot documentation through our portal.
• "COA" or "Certificate of Analysis" refers to the third-party documentation confirming purity, identity, and lot-level test results for each Product.
• "Research Use Only" means Products are supplied solely for in-vitro, laboratory, and institutional investigational applications — not for human or veterinary use.

2. Eligibility and Account Verification

Access to our catalog, pricing, and ordering platform is restricted to verified Providers. To create and maintain a Provider Account, you must:

• Be a licensed healthcare professional, principal investigator, lab director, or procurement officer at a qualified research institution or distributor.
• Provide accurate and complete verification credentials, including a valid NPI number, state license, Tax ID/EIN, and any applicable DEA registration or reseller's permit.
• Confirm that all Products will be used exclusively for lawful research or analytical purposes within the scope of your professional license.
• Be eighteen (18) years of age or older.
• Not be located in a jurisdiction where receipt or use of the Products is prohibited by applicable law.

Amino Gen Lab USA Research Sciences reserves the right to refuse, suspend, or terminate any account at its sole discretion, including where we reasonably believe that submitted credentials are inaccurate or that Products may be misused.

3. Permitted and Prohibited Uses

Permitted Uses

You may access the Site and use our services to:

• Browse and evaluate our research-grade product catalog.
• Place and manage orders through your verified Provider Account.
• Download Certificates of Analysis and lot documentation for Products you have ordered.
• Communicate with our team regarding institutional supply agreements, shipping, or product specifications.

Prohibited Uses

You may not use the Site or Products to:

• Purchase Products for human or veterinary administration, or for resale to individual consumers.
• Circumvent account verification requirements or access the portal using another person's credentials.
• Reproduce, distribute, or commercially exploit any content, data, or documentation from the Site without written permission.
• Introduce malware, conduct unauthorized access attempts, or interfere with the security or integrity of the Site or provider portal.
• Use automated scraping, bots, or data extraction tools against the Site.
• Make any false representation regarding your professional license, institutional affiliation, or intended use of Products.

4. Orders, Pricing, and Payment

Order Placement

All orders must be placed through a verified Provider Account. By submitting an order, you represent and warrant that you are authorized to purchase on behalf of your institution and that the Products will be used solely for lawful research purposes.

Amino Gen Lab USA Research Sciences reserves the right to decline or cancel any order at its discretion, including orders that appear inconsistent with stated research purposes or that exceed institutional quantities.

Pricing

Prices listed on the Site are subject to change without notice. The price confirmed at the time of order submission is binding for that order. All prices are stated in U.S. dollars.

Payment

Payment is due at the time of order unless a net-terms agreement has been established in writing. We accept major credit cards and other payment methods listed at checkout. Payment information is processed by PCI-compliant third-party processors — Amino Gen Lab USA Research Sciences does not store full payment card data.

Taxes

You are responsible for all applicable sales, use, and excise taxes. If your institution holds a valid tax-exempt status, you must provide a current exemption certificate at the time of account setup. Exemptions will not be applied retroactively.

5. Shipping and Delivery

Amino Gen Lab USA Research Sciences ships to qualified research institutions and distributors throughout the United States. International shipments may be available on a case-by-case basis and are subject to applicable import regulations.

• Free standard shipping is available on qualifying orders above $300.
• Estimated delivery timelines are provided at checkout and are not guaranteed.
• Risk of loss and title to Products pass to you upon delivery to the carrier.
• Amino Gen Lab USA Research Sciences is not responsible for delays caused by the carrier, weather, customs, or events outside our reasonable control.
• All shipments include a Certificate of Analysis and relevant lot documentation.

If a shipment is lost or arrives damaged, contact us within five (5) business days of the expected delivery date. We will work with the carrier to resolve the issue.

6. Returns, Refunds, and Order Resolution

Due to the nature of research-grade materials and applicable regulatory requirements, all sales are generally final. Returns are accepted only in the following circumstances:

• The Product received does not match the specifications confirmed in the COA for your lot.
• The Product was damaged in transit and the damage was reported within five (5) business days of delivery.
• An error in order fulfillment resulted in the wrong Product being shipped.

To initiate a return or resolution request, contact our contact page with your order number and documentation of the issue. Approved returns must be shipped back in original packaging within fourteen (14) days of authorization. Unauthorized returns will not be accepted or refunded.

Refunds, where approved, will be issued to the original payment method within ten (10) business days of receiving and inspecting the returned Product.

7. Product Specifications and Documentation

Amino Gen Lab USA Research Sciences is committed to delivering research-grade Products with verified purity documentation. Each lot is tested by independent third-party laboratories using HPLC and mass spectrometry (MS) analysis, and a Certificate of Analysis is provided with every shipment.

• Published purity specifications reflect third-party analytical results for each specific lot.
• Lot-to-lot variation in specification is possible; always confirm your specific lot's COA before use.
• Formulation standards and compound identities are verified at the manufacturing level.

Products are supplied "as-is" for research purposes. Amino Gen Lab USA Research Sciences makes no warranty, express or implied, regarding the fitness of any Product for a particular research application.

8. Regulatory Compliance and Research Use

Amino Gen Lab USA Research Sciences is not a compounding pharmacy (503A) or outsourcing facility (503B) as defined under the Federal Food, Drug, and Cosmetic Act. Our Products are not FDA-approved drugs and are not intended to diagnose, treat, cure, or prevent any disease or condition.

By placing an order, you represent and warrant that:

• You hold all licenses, permits, and institutional approvals required to lawfully possess and use the Products in your jurisdiction.
• You will use the Products only within the scope of applicable research regulations and your professional license.
• You assume full responsibility for all regulatory compliance, including DEA scheduling requirements, state controlled substance regulations, and any applicable institutional review board (IRB) obligations.
• You will not administer, dispense, or distribute Products to patients, consumers, or any person for non-research purposes.

The ordering provider or institution assumes sole and full responsibility for all regulatory compliance, clinical decision-making, and appropriate use of Products within the scope of their professional license and applicable law.

9. Intellectual Property

All content on the Site — including text, graphics, logos, product descriptions, COA formats, and software — is the property of Amino Gen Lab USA Research Sciences or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose of research chemical procurement. You may not:

• Copy, reproduce, or redistribute Site content without prior written permission.
• Use our trademarks, logos, or trade names in any manner that suggests endorsement or affiliation without written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMINO GEN LAB USA RESEARCH SCIENCES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND MANUFACTURING NETWORK PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AMINO GEN LAB USA RESEARCH SCIENCES'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Essential Basis

11. Indemnification

13. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. You consent to personal jurisdiction in the state and federal courts located in Orange County, California.

Informal Resolution

Before initiating any formal proceeding, you agree to contact us at our contact page and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Orange County, California. Each party shall bear its own costs unless the arbitrator awards otherwise.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Third-Party Links and Services
